1 Parties scope and acceptance
These Terms of Service are between you and Villaje Care Technologies Inc. (Villaje, we, us or our). They govern villajecare.com and its public content, enquiry forms and founding waitlists (together, the Website). They do not govern a care booking or replace a separately accepted family, provider or service agreement.
Please read these Terms before submitting a form. When you select an acceptance control clearly linked to these Terms, you agree to them. If you do not agree, do not submit a waitlist registration or use features that require acceptance. Mere receipt of an email does not establish agreement to new contractual terms.
The Privacy Policy explains how we handle personal information, and the Accessibility Policy explains our accessibility commitments. Acceptance of these Terms does not provide blanket consent to optional marketing, sensitive-data processing or new privacy purposes. Applicable mandatory law prevails over any inconsistent provision.
2 Who may register
You must be at least 18 years old and able to enter a binding agreement to register. You must provide accurate, current information and use contact details you are authorized to provide. If acting for an organization, you represent that you have authority to bind it. If assisting another individual, you must have the authority needed for the particular action; family status alone is not sufficient.
You must not impersonate a person, misrepresent professional credentials or submit information obtained unlawfully. A representative cannot waive another individual's rights without valid legal authority. Contact us if you require assistance or an accessible registration method.
3 Founding waitlists and launch status
The family and care-professional waitlists record expressions of interest in a proposed service.
Registration is free. It is not a booking, job offer, employment contract, contractor engagement, verification, admission to the platform, promise of insurance or entitlement to funding. No payment is required or authorized by these Terms.
We do not guarantee a launch date, service area, priority position, match, response time for care, number of clients, hours of work, earnings or continuity of support. Launch timing and participation criteria may change for legitimate operational, safety or legal reasons, subject to applicable law and any express written commitment we make.
You may leave a waitlist at any time by contacting us. We may remove duplicate, fraudulent or abusive submissions and may close a waitlist. We will administer registrations consistently with privacy, accessibility and human-rights obligations. You should maintain any existing care arrangements while awaiting launch.
4 Proposed service model and limits
Villaje is developing a marketplace model in which families or care recipients would contract directly with independent support workers, while Villaje would provide specified platform services. The parties' actual legal roles depend on the services, agreements and applicable law; these Terms do not determine a worker's employment status or remove a statutory duty.
The initial proposed focus is non-medical support for older adults at home, such as companionship and assistance with everyday routines. The Website does not authorize medical or nursing care, medication administration, clinical assessment, lifting or transfers, personal hygiene care, or transportation by a worker. Any later expansion requires an expressly approved scope and appropriate agreements and safeguards.
Before paid services begin, the relevant parties must receive and accept the applicable agreements addressing service scope, pricing, payment, cancellation, screening, insurance, safety, complaints and responsibilities. No description of a planned feature represents that the feature or protection is currently operational.
5 No emergency or professional advice
Do not use the Website or waitlist to obtain urgent care. Call 911 or the appropriate emergency service if there is an immediate threat to health or safety. Website submissions and email are not continuously monitored and are not an emergency dispatch or clinical triage service.
Website material provides general information. It is not individualized medical, nursing, legal, tax, insurance or financial advice. Do not delay seeking qualified care because of Website material. Any discussion of public benefits, insurance reimbursement or tax treatment is general and does not guarantee eligibility, coverage or deductibility.
A title such as personal support worker, or a statement that screening is planned, is not proof that a particular individual has been verified or approved. Screening cannot eliminate all risk and does not guarantee suitability or future conduct.
6 Your responsibilities and acceptable use
Use the Website lawfully and respectfully. Do not submit content that is fraudulent, threatening, discriminatory, exploitative, defamatory, infringing or unlawfully discloses another person's information. Do not request unlawful or unsafe services or use the Website to target vulnerable individuals.
Do not introduce malware, interfere with availability, evade access restrictions, attempt unauthorized access, impersonate Villaje, harvest personal information, send unsolicited commercial messages, or use automated collection in a way that breaches law, privacy or reasonable technical restrictions. Ordinary search-engine indexing of public pages is permitted subject to lawful restrictions and published technical directives.
Do not send detailed medical records, government identifiers, banking credentials, passwords or background-check documents through a general enquiry or waitlist form. You remain responsible for information you knowingly submit, but this does not relieve us of our own privacy and security obligations.
If access credentials are later provided, protect them and notify us promptly of suspected compromise. You are not automatically responsible for activity caused by our security failures or otherwise beyond your reasonable control.
7 Intellectual property and submissions
Villaje or its licensors own the Website's software, text, designs, branding and other protected materials. Subject to these Terms, you may access the Website and download or print public material for personal use, evaluating Villaje, or legitimate internal business evaluation.
Copyright exceptions and other statutory rights remain available. No ownership of our intellectual property is transferred.
Without permission or a lawful exception, you must not commercially reproduce or distribute substantial protected content, misrepresent affiliation, remove ownership notices or use our marks in a confusing manner. A link to a public page is permitted if it does not falsely imply endorsement or conceal the source.
You retain ownership of material you submit. You grant Villaje a non-exclusive, royalty-free licence to host, copy and process that material only as reasonably needed to handle your enquiry or registration, operate and protect the Website, and meet legal obligations. Service providers may exercise these rights only on our behalf. The licence is subject to the Privacy Policy and ends when the relevant information is deleted, except for lawful retention and backup purposes.
You represent that you have the rights and authority needed for your submission. Identifiable testimonials, photographs and publicity require separate permission. General product suggestions may be used without an obligation to compensate you, but this does not authorize disclosure of confidential or personal information.
8 Third parties and availability
Links to third-party sites are provided for convenience. Unless expressly stated, we do not endorse their services and do not control their content, terms or independent data practices.
You should review those practices before providing information. This does not exclude our responsibility for service providers acting on our behalf.
We use reasonable efforts to operate the Website, but interruptions, errors or delays may occur. We may maintain, modify or discontinue features for legitimate business, legal or security reasons. Where practicable, we will give notice of a material change affecting an existing registration. Information may become outdated; contact us to confirm a material detail before relying on it.
9 Disclaimers and limits on damages
To the extent permitted by applicable law, the Website and general information are supplied on an as-available basis without additional implied warranties of uninterrupted operation, suitability for a particular purpose or an outcome from a waitlist registration. We do not guarantee that access will be error-free or that a proposed service will become available.
To the extent permitted by applicable law and subject to the next paragraph, Villaje and its directors, officers, employees and agents are not liable under these Terms for indirect, incidental, special or consequential losses arising solely from use of the Website or a waitlist, including speculative lost profits or anticipated earnings. This provision does not exclude direct loss merely because it concerns data or economic harm.
Important exceptions. No disclaimer, exclusion, indemnity or other provision limits liability for Villaje's fraud, wilful misconduct or gross negligence; personal injury or death caused by its negligence; breach of its privacy or confidentiality obligations; or a liability or remedy that cannot lawfully be excluded or restricted. Nothing waives consumer guarantees, human-rights protections, statutory privacy remedies or other non-waivable rights. Villaje remains responsible for its own acts and omissions under applicable law.
These Terms contain no general release of care-related claims and no waiver on behalf of a prospective care recipient. The exclusions apply only to the extent lawful and reasonable in the circumstances. Each party must take reasonable steps to mitigate loss where required by law.
10 Limited indemnity
To the extent permitted by law, you will compensate Villaje for reasonable losses and costs arising from a third-party claim to the extent directly caused by your intentional unlawful misuse of the Website, knowing infringement of another person's rights, or material fraudulent misrepresentation in a submission.
This obligation does not apply to the extent a loss is caused or contributed to by Villaje's negligence, breach of contract or law, or other wrongful conduct. It does not require you to indemnify Villaje for asserting a good-faith complaint or exercising a statutory right.
Villaje must notify you promptly of a claim, take reasonable steps to reduce loss, and allow you a reasonable opportunity to participate in its defence. Neither party may settle a claim in a way that admits liability for, imposes a non-monetary obligation on, or prejudices the other without that party's reasonable consent. Recoverable legal costs must be reasonable.
11 Restrictions and termination
We may restrict access or remove a submission where reasonably necessary to address suspected fraud, threats, unlawful conduct, material breach, security risk or a legal requirement. Where lawful and practicable, we will explain the reason and offer an opportunity to correct an error or seek review. Urgent protective action may precede notice.
You may stop using the Website at any time. Ending participation does not extinguish accrued rights or legal obligations. Provisions concerning intellectual property, lawful retention, liability, disputes and interpretation survive to the extent necessary for their purpose. We will handle remaining personal information under the Privacy Policy.
12 Complaints and disputes
Please send concerns to admin@villajecare.com with enough detail to identify the issue. We will consider complaints in good faith and make reasonable efforts to resolve them. This process is voluntary and does not suspend a legal deadline unless the parties validly agree otherwise.
These Terms are governed by Ontario law and the federal laws of Canada applicable in Ontario, subject to mandatory protections in any jurisdiction that applies. Ontario courts have jurisdiction, except where applicable law entitles you to another forum. Nothing requires mandatory arbitration, waives participation in a class proceeding, shortens a statutory limitation period or prevents a complaint to a regulator or tribunal.
13 Changes notices and interpretation
We may revise these Terms prospectively. We will publish the version and updated date and provide reasonable notice of material changes affecting registered users. Where renewed acceptance is legally required, we will obtain it. A change does not retrospectively remove an accrued claim or impose a materially new obligation without legally effective agreement.
We may send relevant notices to the contact details you provide, consistent with applicable communications law. You may contact Villaje Care Technologies Inc. at admin@villajecare.com and request a mailing contact. This electronic contact clause does not replace statutory requirements for service of legal proceedings.
Neither party is liable for delay caused by events genuinely beyond its reasonable control to the extent performance is prevented, provided it takes reasonable mitigation steps. This does not excuse avoidable security failures, obligations already due or duties that law requires despite the event.
If a provision is unenforceable, it is severed or limited only as legally permitted and the remainder continues. A failure to enforce a provision is not a continuing waiver. We may transfer these Terms with a lawful business transfer without reducing your mandatory rights; you may not transfer an individual registration without permission. These Terms comprise the agreement for their limited Website subject matter and do not displace a separate signed agreement or an express commitment enforceable under law.
An accessible copy is available on request. Headings assist navigation and do not alter meaning.
